Terms of Service
Effective and last updated: October 20, 2026
These Terms of Service (“Terms”) are a binding agreement between you and the operator of Seriously Serial (“Seriously Serial,” “we,” “us,” or “our”). By accessing or using our websites, portfolio operating system, or related services (the “Service”), you agree to these Terms.
1. Eligibility and authority
You must be at least 18 years old and legally able to enter into this agreement. If you use the Service for an organization, you represent that you have authority to bind that organization, and “you” includes the organization. If you do not agree to these Terms, do not use the Service.
2. Accounts and workspace access
You must provide accurate account information, protect your credentials, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account unless caused by our breach of these Terms.
Workspace owners control their workspaces, project memberships, and user permissions. Access to one project does not grant access to another. You may use only information and features you are authorized to access.
3. The Service
Seriously Serial provides tools for portfolio prioritization, project execution, collaboration, evidence management, candidate research, integrations, and related workflows. Features may change as the Service develops. We may add, modify, suspend, or discontinue features, and will provide notice when required by law or when a material change significantly reduces paid functionality.
The Service is a management tool, not legal, tax, financial, employment, investment, medical, or other professional advice. You remain responsible for your decisions, diligence, approvals, and compliance obligations.
4. Your content
You retain ownership of content you submit to the Service (“Your Content”). You grant us a worldwide, non-exclusive, limited license to host, copy, process, transmit, display, and otherwise use Your Content only as needed to provide, secure, support, and improve the Service and fulfill your instructions.
You represent that you have the rights and permissions needed to submit Your Content and allow us to process it. You are responsible for the accuracy, legality, and appropriateness of Your Content, including personal information about candidates, collaborators, customers, or other third parties.
Workspace owners may export, modify, or delete workspace content and may terminate a user’s access. If you join someone else’s workspace, that owner’s decisions may affect your access to content.
5. Acceptable use
You may not:
- use the Service unlawfully, deceptively, or to violate another person’s rights;
- upload malware, disrupt the Service, bypass security or access controls, or probe for vulnerabilities without written authorization;
- access another user’s account or project without permission;
- scrape, harvest, or collect data or credentials through unauthorized automated means;
- send spam, unlawful communications, or outreach without required consent and human approval;
- reverse engineer the Service except where applicable law expressly permits it; or
- resell or provide the Service to third parties unless we agree in writing.
You must use LinkedIn and other third-party platforms in accordance with their terms. Seriously Serial does not authorize automated LinkedIn scraping, bulk connection requests, or automatic messaging.
6. AI-assisted features
The Service may provide AI-generated suggestions or drafts. Output may be incomplete, inaccurate, or similar to content generated for others. You must review output before relying on it or sharing it. You are responsible for decisions and actions taken using output. AI features do not replace professional advice or required human judgment, and the Service requires human approval before supported AI proposals change project data.
7. Third-party services
The Service may integrate with third-party products such as identity, calendar, payment, email, AI, or hosting providers. Your use of those products may be governed by separate terms. We are not responsible for third-party products or for changes, outages, or actions outside our reasonable control.
8. Fees, renewals, and taxes
Some features may require payment. Prices, billing periods, included usage, and any trial terms will be shown before purchase. Unless stated otherwise at checkout, subscriptions renew automatically for the same billing period until canceled. You authorize us and our payment processor to charge the selected payment method for recurring fees and applicable taxes.
You may cancel before the next renewal to avoid future charges. Except where required by law or expressly stated at purchase, fees already paid are non-refundable. We may change future prices by giving reasonable advance notice.
9. Intellectual property and feedback
We and our licensors own the Service, including its software, design, branding, and documentation, excluding Your Content. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal purposes.
If you provide feedback, you grant us a perpetual, worldwide, royalty-free right to use it without restriction or compensation, provided we do not publicly identify you as its source without permission.
10. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access if you materially breach these Terms, create a security or legal risk, fail to pay applicable fees, or use the Service in a way that could harm us, our users, or third parties. Where practical, we will provide notice and an opportunity to cure. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, liability limits, indemnity, and dispute terms.
11. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE OR ANY OUTPUT WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR ACCURATE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THESE TERMS MAY NOT APPLY TO YOU.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERIOUSLY SERIAL AND ITS AFFILIATES, OWNERS, PERSONNEL, AND PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) US$100. THESE LIMITS APPLY REGARDLESS OF THE THEORY OF LIABILITY, BUT DO NOT LIMIT LIABILITY THAT CANNOT LAWFULLY BE LIMITED.
13. Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless Seriously Serial and its affiliates, owners, and personnel from third-party claims, damages, losses, and reasonable legal fees arising from Your Content, your misuse of the Service, or your violation of these Terms or another person’s rights. This obligation does not apply to the extent a claim results from our own unlawful conduct.
14. Disputes and governing law
Before filing a formal claim, you and Seriously Serial agree to try to resolve the dispute informally for 30 days after written notice is received. Send notices to seriouslyserial@dbx.dev.
These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law rules. Courts located in Utah County, Utah will have exclusive jurisdiction over disputes arising from these Terms or the Service, unless applicable consumer law requires otherwise. Nothing in these Terms prevents either party from seeking injunctive relief for unauthorized access, misuse, or infringement.
15. General terms
These Terms and any purchase terms presented to you are the entire agreement about the Service and supersede prior discussions on that subject. If a provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a merger, reorganization, financing, or sale of the Service. Neither party is liable for delay caused by events beyond its reasonable control.
16. Changes and contact
We may update these Terms. We will post the revised Terms and update the effective date, and will give additional notice of material changes when required. Continuing to use the Service after revised Terms become effective means you accept them.
Questions about these Terms may be sent to seriouslyserial@dbx.dev.
